Terms of Service

These Terms of Service (“Terms”) govern access to and use of SwipeSynq (the “Service”). By creating an account, connecting a channel, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. This document is not legal advice.

1. Who we are

The Service is operated in connection with the website at https://v2.swipesynq.com and the merchant application at https://app.swipesynq.com. Notices may be sent to support@swipesynq.com.

2. Eligibility and accounts

You represent that you have authority to bind the business whose organization you create or whose store you connect. You are responsible for safeguarding account credentials, including staff PINs, and for activity under your account.

3. The Service

SwipeSynq provides point-of-sale software for retail, restaurant, and bar operations, and integrates with third-party platforms, payment terminals, and delivery channels you enable. Available features depend on your country profile, the industry packs you enable, your configuration, and third-party availability. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

4. Connected channels

Use of a connected platform such as Shopify is subject to that platform's terms and policies. You grant us permission to access your store as authorized through the platform's OAuth flow and the scopes you approve. You may disconnect a channel at any time, subject to the data handling described in our Privacy Policy. Disconnecting a channel does not delete your SwipeSynq catalog or order history.

5. Acceptable use

You agree not to misuse the Service, including by attempting to probe, scan, or test vulnerabilities without authorization; interfering with other users; reverse engineering except as permitted by law; or using the Service in violation of law or third-party rights.

6. Fees, trials, and taxes

Subscription packages are published in USD. Trials run for 14 days by default and may be extended up to 30 days on request. You authorize us to charge applicable fees according to the billing method you select. Taxes applicable to the subscription may be added at checkout depending on your billing location. Sales you make through the Service settle in your own country currency and are your responsibility to report.

7. Tax calculation and compliance

The Service applies tax rules based on the country profile you select, including GST in India, VAT in the UK and GCC markets, and state-based sales tax profiles in the United States. You remain responsible for configuring correct rates, tax identifiers, and product classifications, for reviewing invoices and exports, and for your own filing obligations.

8. Third-party services

Integrations, including payment terminals, gateways, and delivery marketplaces, are provided by third parties under their own terms. We are not responsible for third-party failures, rate limits, or policy changes beyond our reasonable control.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA.

11. Indemnity

You will defend and indemnify us against claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service by closing your organization. We may suspend or terminate access for breach of these Terms or where there is risk to the Service or other users. Provisions that by their nature should survive will survive termination.

13. Governing law

These Terms are governed by the laws applicable to the entity operating the Service, excluding conflict-of-law rules. Courts in that jurisdiction have exclusive venue, unless mandatory consumer protections require otherwise.

14. Changes

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Material changes may be communicated through the Service or by email where appropriate.
